These Terms of Service ("Terms") govern your access to and use of the website, products, and services provided by Firsta Innovative Technologies Ltd. ("Firsta," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
Firsta Innovative Technologies Ltd. is a Nigerian software engineering company that designs, develops, and maintains web, mobile, desktop, and AI-powered solutions for startups, businesses, government organizations, and enterprises. Our registered office is at Royal Office Building, 4th Floor, KM 25 Lekki-Epe Expressway, Ajiwe-Ajah, Opp. Fidelity Bank, Lagos, Nigeria.
We provide custom software development, mobile and web application development, desktop application development, AI integration and automation, software consulting, corporate and technical training, and product maintenance and support. The specific scope, deliverables, timeline, and cost of any engagement will be set out in a separate proposal, statement of work, or service agreement signed by both parties, which forms part of these Terms for that engagement.
The cost calculator available on our website provides an automated, indicative estimate based on the platform and features you select. It is provided for planning purposes only and does not constitute a binding quotation, invoice, or offer of contract. Actual project costs may vary based on a detailed scoping conversation, project complexity, timelines, third-party costs, and other factors identified during discovery. A final price is only confirmed in a written proposal or service agreement signed by both parties.
Unless otherwise agreed in writing, projects are billed in accordance with the payment schedule set out in the relevant proposal or service agreement, which may include an upfront deposit, milestone-based payments, or monthly retainers. Late payments may result in a pause of work until outstanding amounts are settled. All prices are quoted exclusive of applicable taxes unless stated otherwise.
Unless otherwise agreed in writing, upon full payment for a project, ownership of the custom source code and deliverables created specifically for you transfers to you. Firsta retains the right to reuse general knowledge, pre-existing tools, frameworks, and non-client-specific components developed during the engagement. Firsta's own branding, website content, and proprietary internal tools remain the property of Firsta Innovative Technologies Ltd.
You agree to provide timely feedback, access, content, and information reasonably required for us to deliver the project. Delays in providing required materials may affect project timelines. You are responsible for ensuring that any content, data, or materials you provide to us do not infringe on the rights of any third party.
Both parties agree to keep confidential any non-public business, technical, or financial information shared during the course of an engagement, and to use it solely for the purpose of delivering or receiving the relevant services.
We strive to deliver reliable, well-tested software, but we do not warrant that any software will be completely free of defects. Except as expressly set out in a signed service agreement, our services are provided "as is," and our total liability for any claim arising from an engagement is limited to the fees paid by you for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
Post-launch maintenance and support services are provided under a separate agreement or retainer and are not automatically included in a project's initial scope unless explicitly stated.
Either party may terminate an active engagement in accordance with the terms set out in the relevant service agreement. Fees for work completed up to the point of termination remain payable.
You agree to use our website lawfully and not to attempt to disrupt, reverse-engineer, or gain unauthorized access to our systems. Content on this website, including text, graphics, and the cost calculator, is the property of Firsta Innovative Technologies Ltd. and may not be reproduced without permission.
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or an engagement with us will first be addressed through good-faith negotiation, and if unresolved, submitted to the appropriate courts in Lagos State, Nigeria.
We may update these Terms from time to time to reflect changes in our services or legal requirements. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
